1. General
These Terms and Conditions ("Terms") govern the use of services provided by Scale Force Global, a digital marketing and growth consulting agency registered at 51 Black Peak Boulevard, Industrial Zone Hladilnika, Sofia 1407, Bulgaria ("we", "us","our", "Scale Force", "Scale Force Global"). By engaging our services, booking a discovery call, or using our website (www.scaleforceglobal.co), you ("Client","you") agree to be bound by these Terms. Please read them carefully before proceeding.
2. Services
Scale Force Global provides the following services to direct-to-consumer (D2C) e-commerce brands:
2.1 Paid Media Management
Strategic planning, execution, and optimization of paid advertising campaigns across platforms including Meta (Facebook &Instagram), Google, TikTok, and other digital channels. This includes audience targeting, campaign structuring, bid management, and ongoing performance monitoring.
2.2 Performance Creative Production
Design and production of high-performance ad creatives, including static images, video content, and ad copy. All creative work is data-informed and optimized for conversion through continuous testing and iteration.
2.3 Growth Strategy Consulting
Strategic consulting services focused on scaling e-commerce brands, including funnel optimization, average order value (AOV) improvement, conversion rate optimization (CRO), product launch strategy, and customer lifetime value (LTV) enhancement.
3. Pricing
Our pricing is structured on a monthly retainer basis, determined by the Client's monthly advertising spend. The following fee schedule applies:
- Monthly ad spend under $50,000: base retainer of $2,000.00 per month.
- Monthly ad spend of $50,000–$100,000: base retainer of $3,000.00 per month.
- Monthly ad spend of $100,000–$300,000: base retainer of $4,500.00 per month.
- Monthly ad spend of $300,000 and above: base retainer of $5,500.00 per month, plus 1% of total monthly ad spend.
The applicable retainer tier is determined at the start of each billing period based on the agreed or projected monthly ad spend. If the Client's ad spend changes significantly during a billing period, the retainer may be adjusted in the following month upon mutual agreement.
All fees are exclusive of applicable taxes unless stated otherwise. Advertising budgets paid directly to platforms (Meta, Google, TikTok, etc.) are not included in our fees and are the sole responsibility of the Client.
A detailed proposal with the exact fee structure will be provided following an initial discovery call.
4. Engagement Process & Service Delivery
Our standard engagement process follows these steps:
Step 1 – Discovery Call: An initial consultation to understand your brand, goals, challenges, and current marketing performance. This call is free and non-binding.
Step 2 – Proposal: Following the discovery call, we prepare a tailored proposal outlining the recommended scope of work, deliverables, timeline, and pricing.
Step 3 – Onboarding: Upon acceptance of the proposal, we begin a structured onboarding process (typically5–10 business days) which includes access setup to ad accounts, analytics platforms, and relevant tools.
Step 4 – Strategy & Execution: We develop and execute the agreed strategy. Campaign launch typically occurs within 2–4 weeks of onboarding completion.
Step 5 – Ongoing Optimization: Continuous monitoring, testing, and refinement of campaigns and strategies with regular performance reporting (weekly or bi-weekly, as agreed).
Delivery timelines are estimates and may vary based on Client responsiveness, asset availability, and platform review processes. We commit to transparent communication throughout the engagement.
5. Payment Terms
Invoices are issued at the beginning of each calendar month (or as specified in the proposal) and are due within 14 days of the invoice date. Payment can be made via bank transfer or through Wise.Late payments may incur a charge of 1.5% per month on the outstanding amount. Scale Force Global reserves the right to pause campaign management and service delivery if payments remain outstanding for more than 30 days.
6. Client Obligations
To ensure effective service delivery, the Client agrees to:
- Provide timely access to all required platforms, accounts, and assets.
- Respond to requests for feedback, approvals, and information within reasonable timeframes.
- Maintain sufficient ad spend budgets as agreed in the proposal.
- Ensure that all products, services, and marketing claims comply with applicable laws and advertising regulations.
7. Intellectual Property
All creative assets, strategies, and materials produced by Scale Force Global during the engagement remain the intellectual property of Scale Force Global until full payment has been received. Upon full payment, ownership of bespoke creative assets transfers to the Client. Scale Force Global retains the right to use anonymized case studies, performance metrics, and portfolio references for marketing purposes unless the Client explicitly requests otherwise in writing.
8. Confidentiality
Both parties agree to keep confidential all proprietary information, business data, strategies, and materials shared during the engagement. This obligation survives the termination of the agreement for a period of 2 years.

10. Limitation of Liability
Scale Force Global provides marketing services on a best-effort basis. While we use data-driven strategies and proven methodologies, we cannot guarantee specific results, revenue targets, or return on ad spend (ROAS) outcomes, as these are influenced by many factors beyond our control (including market conditions, product-market fit, platform algorithm changes, and competitor activity). Scale Force Global’s total liability under this agreement shall not exceed the total fees paid by the Client in the 3 months preceding the claim. Scale Force Global is not liable for indirect, consequential, or incidental damages.
11. Governing Law
These Terms are governed by the laws of the Republic ofBulgaria. Any disputes arising from or related to these Terms shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the competent courts of Sofia, Bulgaria.
12. Changes to These Terms
Scale Force Global reserves the right to update these Terms at any time. Changes will be posted on our website with an updated revision date. Continued use of our services following any changes constitutes acceptance of the updated Terms.
